1. Introduction

Welcome to FullyBooked, a software-as-a-service (SaaS) product operated by Thru Line Consulting LLC ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your use of www.fullybookedcalendar.com ("Website") and all related services provided through the FullyBooked platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and Accounts

To use FullyBooked, you must be at least 18 years old and capable of forming a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to update it as necessary. Unauthorized use of another person's account is strictly prohibited.

3. Description of Service

FullyBooked is a multi-tenant B2B SaaS platform designed for service providers such as massage therapists, dentists, lawyers, and other appointment-based professionals. The Service automatically processes appointment cancellation emails and sends notifications to clients on your waitlist via SMS and/or email.

4. Subscription Plans and Billing

FullyBooked offers a free trial and a Professional subscription plan. Billing is managed through Stripe. The Professional plan renews automatically each month unless canceled. You can cancel your subscription anytime via the Stripe billing portal. We do not provide refunds for partial months. Changes to pricing will be communicated at least 30 days in advance.

5. User Responsibilities and Legal Compliance

You agree to comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act. You are solely responsible for obtaining proper consent before sending SMS or email notifications to clients. You may not use the Service for spam, abusive, or unlawful purposes.

6. Data Processing and Security

We process data as outlined in our Privacy Policy. All communications are encrypted over HTTPS. We implement strict access controls and token-based authentication. However, no system is entirely secure, and we cannot guarantee absolute protection from unauthorized access or data loss.

7. Intellectual Property

FullyBooked, including all associated software, graphics, interfaces, and content, is owned by Thru Line Consulting LLC or its licensors. You are granted a limited, non-transferable license to use the Service solely for lawful business purposes. Reverse engineering, redistribution, or modification is prohibited.

8. Third-Party Services

FullyBooked integrates with third-party providers such as Replit (authentication), SendGrid (email), Twilio (SMS), and Stripe (payments). Use of these services is subject to their respective privacy policies and terms of service. We are not responsible for their performance or data handling practices.

9. Service Availability and Limitations

We strive to maintain 99% uptime but cannot guarantee uninterrupted service. Scheduled maintenance or outages may occur. We rely on third-party providers for core functionality and cannot ensure 100% delivery of SMS or email notifications.

10. Termination and Cancellation

We may suspend or terminate accounts that violate these Terms or engage in abusive or illegal activity. Users may cancel their accounts at any time through the billing portal. Upon termination, user data will be retained for 30 days for export before permanent deletion.

11. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee accuracy of email parsing or delivery reliability of notifications.

12. Limitation of Liability

To the fullest extent permitted by law, Thru Line Consulting LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the Service, even if advised of such damages. Our total liability shall not exceed the fees paid in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Thru Line Consulting LLC, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of a third party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in King County, Washington.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
